Bylaws of the Geneva Lake Art Association

ARTICLE I    NAME AND OBJECTIVES

  1. The name of this organization shall be the Geneva Lake Art Association (GLAA).
  2. The objectives shall be to promote an active interest in arts in the community, provide education, and foster the appreciation of and involvement in the visual arts by supporting and sponsoring exhibits and workshops.

 

ARTICLE 2   MEMBERSHIP

  1. Members shall be adults, pay annual dues, and actively support the objectives of the GLAA as stated in Article 1 above.
  2. HONORARY MEMBERSHIP may be conferred only upon recommendation of the Operating Board with all the privileges of the association and with no obligation to pay dues.

 

ARTICLE 3   BOARD OF DIRECTORS - Duties

  1. The elected officers of the Association shall be a President, a Vice President, a Corresponding Secretary, a Recording Secretary, and a Treasurer.
  2. The President shall:
    1. Preside at all the meetings of the club,
    2. Appoint regular and special committee chairs and at-large members, and
    3. Serve as an ex-officio member of any committee upon request. 
  3. The Vice President shall:
    1. Serve as President in the absence of the President,
    2. Assume all duties of the President if the President is for any reason unable to serve, and
    3. Fulfill duties as delegated by the President.
  4. The Corresponding Secretary shall:
    1. Give notice of all the meetings of the Executive Board, the Association and its activities, and
    2. Convey the information to the membership in the appropriate manner (newsletter, internet or regular mail).
  5. The Recording Secretary shall:
    1. Keep a record of all minutes of the Association and of the Operating Board, and
    2. Provide records as requested and/or appropriate.
  6. The Treasurer shall:
    1. Collect, deposit and disburse the funds of the Association as directed by the Operating Board,
    2. Ensure compliance with Federal and state filing requirements,
    3. Keep an accounting of all receipts and disbursements,
    4. Submit to the Operating Board a written report of the financial condition of the Association whenever required or requested by the Operating Board, and
    5. Provide a complete financial statement to the general membership before the annual meeting.
  7. Vacancies of the elected offices, between annual meetings, shall be filled by appointment of the President.

 

ARTICLE 4  OPERATING BOARD

  1. The Operating Board shall consist of the Board of Directors, appointed positions, and the immediate past President. 
  2. The Operating Board shall determine, by a majority vote of those present, the amount(s) of money to be expended for non-budgeted items above $200.
  3. Any member of the Operating Board who fails to attend three duly called consecutive meetings shall be deemed to have tendered his or her resignation of that office unless an explanation has been provided which the Operating Board deems satisfactory.
  4. Two-thirds of the elected officers of the Board of Directors, including the President or Vice-President, shall constitute a quorum for the Operating Board.
  5. The President, or in his or her absence the Vice President, shall preside at meetings of the Operating Board.

 

ARTICLE 5  DUES

  1. Annual dues shall be payable at the beginning of the Association year (September to September). 
  2. Any member whose dues are three (3) months in arrears shall be dropped from the membership list until such time that appropriate dues have been paid.

 

ARTICLE 6 MEETINGS

  1. The annual meeting of the Association shall be held on the last Thursday in September.  Documentation of all matters requiring member approval shall be provided prior to the meeting.
  2. Officers for the following year shall be elected by a vote of the general membership at the annual meeting.
  3. Regular meetings of the Association shall be held on the last Thursday of each month designated.
  4. At the regular monthly meetings, matters of business shall be presented to the members, together with the Board’s recommendation.  Any matter shall then be decided by a simple vote, provided at least four days notice of the meeting has been given to the general membership.

 

ARTICLE 7  COMMITTEES

  1. The President shall appoint all standing Committee Chairs.
  2. All Committee Chairs are empowered to appoint their own committee members.

 

ARTICLE 8  BUDGET AND ACCOUNT REVIEW

The President shall appoint a person(s) to review, at least bi-annually, the accounts and budget information provided by the Treasurer.

 

ARTICLE 9   ELECTIONS

  1. The President shall appoint three members to prepare nominations for officers for the coming year to be submitted to the general membership for consideration at the annual meeting.
  2. During the annual meeting members in good standing may also make nominations from the floor.
  3. Election of officers shall be by majority vote of members in good standing at the meeting.   
  4. The term of elected officers shall be two years.  The President and Vice President shall have the same two year term, with remaining officers elected in the intervening year.

 

ARTICLE 10  MEMBER EXHIBITIONS

  1. Exhibitors must be members in good standing (paid-up) of the Association.  The annual Student Show shall be open to non-members enrolled in classes from the GLAA art program, or be invited by the GLAA Exhibit Committee to exhibit.
  2. Exhibitors shall accept, and abide by, conditions and terms of the Exhibition Contract.  Non-compliance may result in removal of work from an existing exhibit and possible exclusion from future exhibits, based on recommendations to the Operating Board by the Exhibit Committee.
  3. Only original work will be accepted for hanging. Reproductions must be clearly identified in the Exhibition Contract and on all works displayed in the floor bins.

 

ARTICLE 11  AMENDMENTS

  1. The GLAA Bylaws may be amended at a monthly meeting of the Association by a two-thirds vote of members in good standing present, and only after prior approval by the Operating Board.
  2. The Bylaws shall be reviewed by the Operating Board at least every five years.

 

ARTICLE 12  PARLIAMENTARY PROCEDURE

Roberts Rules of Order shall govern in matters of parliamentary procedures at all meetings of the Association, unless contrary to any provision of these Bylaws.

 

ARTICLE 13  FISCAL YEAR

The accounting fiscal year is currently September 1 to August 31 and it shall be changed to January 1 to December 31.

 

ARTICLE 14   EARNINGS and DISSOLUTION

  1. Earnings
    No part of any earnings of the Geneva Lake Art Association shall at any time accrue to the benefit of any of its officers, directors, members or any other private individual. This provision does not include returns to individuals for the sale of their artwork at Association-sponsored exhibitions nor cash or item awards received in the Shows and exhibitions of the GLAA.
  2. Dissolution
    In the event of dissolution of the Association, no member, officer, or director shall be entitled to any distribution or division of its remaining property, net earnings, or its proceeds. The balance of all money and other property received by the Association from any source, after payment of all debts and obligations of the association, shall be used or distributed exclusively for purposes substantially similar to those for which the Geneva Lake Art Association was organized. But in no event shall such money or other property be distributed or used for purposes other than those within the intent of section 501(c) 3 of the Internal Revenue Code as the same now exists or as it may be amended from time to time.

The gallery is located in the North Shore Pavilion at 647 Main Street (Route 50) in Lake Geneva, Wisconsin. There is a convenient visitor’s parking lot behind the North Shore Pavilion. Hours: Saturday, 10am - 4pm; Sundays, 1pm - 4 pm; Fridays (during summer only), 1pm - 4 pm.
